Pole To Win Holdings Inc. (Head Office: Shinjuku-ku, Tokyo; CEO: Teppei Tachibana; Securities Code: 3657; hereinafter referred to as PHD), a global company that develops service and lifecycle solutions businesses, is pleased to announce that at the General Meeting of Shareholders held today and the Board of Directors meeting held after the General Meeting of Shareholders, the following personnel changes were made, and three new outside directors have been appointed.

With these recent executive personnel changes, three individuals with wide-ranging experience and high levels of expertise have been appointed as outside directors, with the aim of further improving management transparency and strengthening the company's corporate governance system.

Going forward, PHD will continue to strive to build relationships of trust with stakeholders by achieving further business growth and establishing a fair, transparent and sound management structure so that it can meet the expectations of all stakeholders.

1. Newly appointed outside directors and their expected roles

Ms. Mutsumi Kobayashi has experience in overseeing the SEO business of a digital marketing company and is currently involved in corporate management as a director of a listed subsidiary. She also has extensive experience and deep insight into due diligence when considering M&A and post-merger integration following M&A.
The Company has appointed her as an outside director since it believes that her valuable and diverse views, based on her extensive experience, will contribute to strengthening the supervisory function of the Company's Board of Directors and enhancing its corporate value.

2. Newly appointed outside directors who are audit and supervisory committee members and their expected roles

Mr. Miyata Akihiko has been engaged in domestic equity investment for over 30 years and has experience in "engagement investment," which aims to increase the corporate value of investee companies by repeatedly engaging in dialogue with the management of investee companies and providing advice on business and financial strategies, etc. We appointed him as an outside director and audit and supervisory committee member in the hope that incorporating his perspective into our board of directors will lead to discussions that contribute to improving our corporate value in the medium to long term.

Ms. Natsuko Shimizu is an attorney with a thorough understanding of corporate law, and is particularly specialized in the fields of business revitalization and M&A. Although she has no prior experience of involvement in corporate management other than as an outside director, we believe that she will be able to utilize her extensive experience and knowledge as an attorney to provide objective standpoint on the decision-making and supervision of our Company's Board of Directors. Thereby contributing to strengthening the effectiveness of our Board of Directors, and therefore appointed her as an outside director and Audit and Supervisory Committee Member.
